TERMS & CONDITIONS

Effective Date: October 19, 2026
Website: https://www.waltersvisionarystudios.com
Email: waltersvisionarystudios@gmail.com
Governing State: Oklahoma, United States

1. Introduction and Acceptance of Terms

These Terms & Conditions (“Terms”) govern the website, services, consultations, purchases, subscriptions, and contractual relationships offered by Walters Visionary Studios, LLC (“WVS,” “Company,” “we,” “us,” or “our”).

WVS is a creative media and digital marketing company organized in Oklahoma, subject to confirmation of its exact legal name in its state-approved formation documents.

By accessing or using our website, purchasing a service, subscribing to a package, booking a consultation, or affirmatively accepting these Terms, you (“Client,” “you,” or “your”) agree to the provisions applicable to your activities.

Purchasing a service does not, by itself, establish an active service engagement.

All paid services require a written service agreement or an approved electronic consultation booking agreement.

If a separately executed service agreement conflicts with these Terms, the more specific signed agreement will govern that engagement, subject to applicable law.

Clients must be at least eighteen (18) years old and have the legal authority to enter into the applicable agreement.

2. Services Offered

WVS provides remote creative media and marketing services, including:

  • Social media content strategy and planning

  • Branded graphics and carousel design

  • Social media caption writing

  • Brand positioning and strategy

  • Remote creative direction

  • Editing of client-provided video footage

  • Social media management and community engagement, when specifically contracted

  • Marketing performance analysis and reporting

  • Virtual strategy consultations

  • Custom digital creative services

WVS operates remotely and does not offer in-person photography, filming, videography, or on-location production.

Services are limited to the deliverables expressly identified in the applicable package and written agreement.

3. Mandatory Written Service Agreements

Every paid WVS engagement requires an applicable written agreement.

This requirement applies to Bronze, Silver, Gold, Elite Partnership, Custom Packages, individual services, and consultations.

Each agreement will identify, as applicable:

  1. The parties and purchased services.

  2. The scope of work and deliverables.

  3. The contract's commencement date and duration.

  4. Pricing, billing frequency, and payment obligations.

  5. Client onboarding and account-access requirements.

  6. Revisions, approvals, and delivery expectations.

  7. Cancellation, termination, and renewal conditions.

  8. Refund terms.

  9. Intellectual property rights.

  10. Mutual confidentiality and non-disclosure obligations.

Service agreements may be executed electronically, including through DocuSign.

For consultations, an appropriately presented and affirmatively accepted electronic booking agreement may satisfy the written agreement requirement.

WVS will not begin services until the applicable contract, payment, and onboarding conditions have been satisfied.

4. Contract and Payment Must Both Be Completed

A signed contract without the required payment does not authorize WVS to begin work. Payment without a signed contract does not authorize WVS to begin work.

4.1 Payment Without a Signed Agreement

If a Client purchases a Bronze, Silver, Gold, or Elite Partnership package but does not execute the required written agreement, WVS will not perform services.

If the agreement is not executed and the engagement does not proceed, WVS will provide a full refund of the package payment received.

This refund will not be reduced by WVS's ordinary payment-processing costs.

WVS will process the refund through the original payment provider, subject to its processing timelines.

4.2 Signed Agreement Without Payment

If the Client executes the required agreement but fails to make the required initial payment, WVS will not commence services.

Signing an agreement without paying does not automatically cancel the agreement or eliminate obligations that may arise under its terms.

4.3 Requirements Before Services Begin

Services commence only after:

  • The applicable written agreement is properly executed or accepted.

  • The required initial payment is received and cleared.

  • Required onboarding materials are provided.

  • Necessary platform permissions and authorizations are granted.

WVS will confirm the official commencement date in writing.

4.4 No Waiver

Acceptance of payment does not waive the written agreement requirement.

Execution of an agreement does not waive payment requirements.

Any exception must be expressly authorized by WVS in writing.

The following standard packages are available, subject to their specific written agreements.

Services not specifically included in a package are excluded unless approved through a separate written agreement.

WVS may update publicly advertised packages and pricing prospectively. Changes to an existing engagement require any notice or agreement required by its contract and applicable law.

6. Elite Partnership: Meaning and Contractual Commitment

“Elite Partnership” is the commercial name of WVS's premium, long-term marketing and creative media service.

The term “Partnership” does not create a legal partnership, joint venture, employment relationship, equity interest, profit-sharing arrangement, co-ownership, or general agency relationship.

WVS remains an independent contractor.

Elite Partnership requires a separate, executed twelve-month agreement.

At the standard monthly price of $5,000, the scheduled twelve-month contract value is $60,000.

6.1 Early Termination

Early termination, notice requirements, any outstanding payment obligations, and available remedies will be established in the separately executed Elite Partnership Agreement.

A twelve-month commitment does not, by itself, make all unpaid future installments immediately due.

Any early termination fees or continuing payment obligations must be clearly disclosed, agreed upon, and enforceable under applicable law.

6.2 Scope Limitations

Elite Partnership does not include unlimited deliverables, unlimited revisions, unrestricted meetings, unlimited account management, or unrestricted availability.

The signed agreement defines the full scope.

7. Custom Packages and Individual Services

Custom Packages are developed according to each Client's requested services, scope, complexity, workload, and timeline.

Custom pricing does not automatically mean lower pricing.

Every custom engagement requires a written proposal or scope of work incorporated into an executed agreement.

Custom engagements may be one-time, project-based, fixed-term, or recurring.

The written agreement must establish the duration, deliverables, payment terms, revisions, and cancellation provisions.

Additional work outside the agreed scope requires written approval and may involve additional fees disclosed before that work begins.

8. Paid Virtual Consultations

WVS offers paid virtual consultations at a standard rate of $200 per session.

The session duration and meeting details will be disclosed before booking.

Full payment is required at booking.

8.1 Client Cancellations

Cancellations made at least twenty-four (24) hours before the scheduled appointment are eligible for a full refund.

Cancellations made less than twenty-four (24) hours before the appointment are nonrefundable, except where required by law.

8.2 Rescheduling

Clients may reschedule with at least twenty-four (24) hours' notice, subject to availability.

8.3 No-Shows

Missed consultations without timely cancellation are nonrefundable, except where required by law.

8.4 Cancellation by WVS

If WVS cancels the appointment, the Client may choose a full refund or complimentary rescheduling.

8.5 Booking Agreement

Consultation purchases require affirmative acceptance of written booking terms.

Consultations do not automatically include additional deliverables or guarantee a particular business outcome.

9. Billing, Subscriptions, and Payment Processing

WVS may process payments through Stripe, PayPal, or other approved payment providers.

Clients purchasing recurring services authorize recurring charges according to the amount, frequency, start date, and renewal terms disclosed during checkout and in the applicable agreement.

A payment confirmation does not override the mandatory contract and onboarding requirements.

If a package payment is received without an executed agreement and the engagement does not proceed, the refund policy in Section 4.1 applies.

9.1 Failed Payments

WVS may withhold or suspend affected services if required payments fail or become overdue, subject to the signed agreement, appropriate notice, and applicable law.

9.2 Subscription Cancellation

Bronze, Silver, and Gold Clients may cancel future renewals through an available subscription-management method or by emailing WVS.

Cancellation generally takes effect at the end of the current paid billing period unless otherwise required by the applicable agreement or law.

Elite Partnership and fixed-term custom agreements follow their specific termination provisions.

9.3 Delayed Onboarding

If payment and contract execution are complete but onboarding is delayed, WVS will communicate outstanding requirements and confirm any changes to the commencement date or service schedule in writing.

The agreement will govern any corresponding billing adjustments or extensions.

10. Client Onboarding and Required Materials

Clients agree to provide the materials and information reasonably necessary for WVS to perform the contracted services.

These may include:

  • Logos, fonts, brand guidelines, and visual assets

  • Client-owned photos and video footage

  • Business descriptions and marketing objectives

  • Content references and campaign information

  • Social media platform permissions

  • Analytics access where applicable

  • Timely feedback and approvals

Clients are responsible for ensuring they have the necessary rights to provide materials for WVS's use.

WVS may delay affected work until required materials or permissions are received.

WVS will notify the Client of outstanding requirements and material schedule changes.

Client-caused delays do not automatically create an entitlement to additional free services.

11. Social Media Access and Client Authorization

Some services require WVS to access Client social media accounts, business platforms, or analytics tools.

11.1 Consent and Authority

By executing the applicable agreement and granting access through an authorized process, the Client confirms that they own, administer, or are legally permitted to authorize access to the designated accounts.

The Client authorizes WVS to access and use those accounts solely for the purposes specified in the agreement.

Depending on the contracted scope, authorized activities may include content scheduling, publishing, community management, and analytics review.

11.2 Security

WVS will request only the access reasonably necessary for the purchased services.

Where available, official platform permissions or delegated business access should be used instead of sharing personal passwords.

WVS will not request unnecessary authentication recovery codes.

Where direct credentials are legitimately required, the parties will use an appropriately secure access method.

11.3 Account Ownership

Clients retain ownership and control of their accounts, audiences, and digital assets.

WVS does not acquire account ownership through access authorization.

11.4 Restrictions

WVS will not, without appropriate additional authorization:

  • Change account ownership

  • Make advertising purchases

  • Incur expenses on the Client's behalf

  • Transfer account control

  • Perform services outside the agreed scope

11.5 Revocation and Termination

Clients may revoke account access, subject to their contractual obligations.

WVS will relinquish access when authorization ends or it is no longer reasonably necessary.

11.6 Written Authorization

Service agreements requiring account access will contain a specific authorization provision identifying the relevant permissions and permitted activities.

12. Confidentiality and Mandatory Integrated NDA

Every WVS service agreement will contain a binding Mutual Confidentiality and Non-Disclosure Agreement (“NDA”).

The NDA will protect confidential information belonging to both WVS and the Client.

12.1 Protected Information

Confidential Information may include:

  • Business strategies and marketing plans

  • Proprietary methods, workflows, and templates

  • Financial information and nonpublic pricing arrangements

  • Unreleased content and creative concepts

  • Client and customer information

  • Internal communications

  • Account credentials and security information

  • Other nonpublic proprietary business information

12.2 Mutual Obligations

Both parties agree to:

  1. Protect the other party's Confidential Information using reasonable care.

  2. Use Confidential Information only for authorized contractual purposes.

  3. Avoid unauthorized disclosure.

  4. Limit access to persons with a legitimate need to know who are subject to appropriate confidentiality protections.

  5. Take reasonable measures against unauthorized use or access.

12.3 Exceptions

Confidentiality obligations do not apply to information lawfully available to the public, independently developed without use of protected information, lawfully received without restrictions, or disclosed with appropriate authorization.

Disclosures required by law or valid legal process are permitted.

Nothing in the NDA restricts legally protected reporting or disclosures that cannot lawfully be prohibited.

12.4 Duration

Unless otherwise specified in the applicable agreement, confidentiality obligations continue during the engagement and for three (3) years after its termination or expiration.

Trade secrets remain protected for as long as they legally qualify as trade secrets.

12.5 Return or Deletion

Upon reasonable request following completion or termination, Confidential Information will be returned or securely deleted, subject to lawful retention and legitimate recordkeeping requirements.

12.6 Integrated Agreement

A separate NDA is not ordinarily necessary because the NDA will be incorporated directly into the executed service agreement.

WVS may require a separate NDA where additional confidentiality protection is appropriate.

13. Refund Policy

13.1 Package Payment Without Contract

A Client who pays for a standard package but does not execute the required agreement will receive a full refund if the engagement does not proceed.

No package services will be performed without the executed agreement.

13.2 Cancellation Before Work Begins

If a Client cancels before work begins, WVS will determine refund eligibility according to the signed agreement and applicable law.

Where no work has been performed and no valid, separately disclosed nonrefundable charges or expenses apply, WVS will ordinarily issue a full refund.

13.3 Cancellation After Work Begins

Fees attributable to services already performed are generally nonrefundable.

Refunds for prepaid but unperformed services will be determined under the applicable agreement and law.

13.4 Failure to Deliver

If WVS materially fails to perform contracted services, the Client should notify WVS in writing.

Where appropriate, WVS will have a reasonable opportunity to correct the issue.

If the failure cannot reasonably be resolved, the Client may be entitled to an appropriate refund or other remedy.

13.5 WVS-Initiated Cancellation

If WVS cancels an engagement or cannot provide agreed services, WVS will provide refunds or other remedies required under the agreement or law.

13.6 Consultation Refunds

Consultation refunds are governed by Section 8.

13.7 Refund Processing

Approved refunds will ordinarily be processed through the original payment provider.

Processing and posting times may vary by provider and financial institution.

13.8 Legal Rights

Nothing in this policy eliminates rights or remedies that cannot lawfully be waived.

14. Chargebacks and Billing Disputes

Clients are encouraged to contact WVS regarding billing or service concerns.

Clients retain all lawful rights to dispute charges through their financial institution or payment provider.

WVS may respond to disputes using legitimate supporting documentation, including executed contracts, payment confirmations, approvals, communications, work records, and delivery evidence.

WVS will not knowingly submit false or misleading dispute evidence.

15. Deliverables, Revisions, and Approvals

WVS will perform only the services identified in the applicable agreement.

A revision means a reasonable modification to an existing deliverable within the agreed scope.

New concepts, additional deliverables, significant changes in direction, or requests outside the agreed scope may require additional payment.

WVS will disclose and obtain approval for additional charges before performing extra billable work.

Clients agree to provide timely feedback and review submitted content for factual accuracy.

16. Delivery Schedules and Unused Services

Delivery schedules will be established through the applicable agreement or written onboarding communications.

Schedules may be affected by missing materials, delayed approvals, agreed scope changes, platform interruptions, or circumstances beyond reasonable control.

Unless otherwise agreed, unused monthly revisions, meetings, or deliverables do not automatically carry over to later billing periods.

This provision does not excuse WVS from responsibility for services it failed to provide.

17. Intellectual Property and Ownership

Clients retain ownership of materials they owned before engaging WVS.

Upon full payment, Clients receive the rights to final deliverables specified in their service agreement, subject to any applicable third-party licenses.

WVS retains ownership of its pre-existing intellectual property, proprietary workflows, templates, internal production processes, unused concepts, and working files unless otherwise agreed in writing.

Editable source files are included only when expressly identified as deliverables.

18. Portfolio and Promotional Use

WVS may request permission to display completed client work in its portfolio, website, proposals, and promotional materials.

The applicable service agreement will establish whether the Client grants such permission and any restrictions.

WVS will not knowingly disclose confidential information or unreleased materials in promotional content without appropriate authorization.

19. No Guarantee of Marketing Results

WVS does not guarantee specific sales, revenue, follower growth, engagement, lead generation, conversion rates, or viral performance.

Marketing outcomes depend on factors beyond WVS's control, including audience behavior, platform algorithms, competition, market conditions, and client implementation.

WVS will perform its agreed services professionally but does not promise any particular commercial outcome.

20. Independent Contractor Status

WVS performs services as an independent contractor.

Nothing in these Terms establishes employment, a legal partnership, a joint venture, an ownership interest, or a general agency relationship.

21. Third-Party Platforms

WVS may use third-party providers, including:

  • Stripe for payments and subscriptions

  • PayPal for payments and invoices

  • DocuSign for electronic agreements

  • Calendly for consultation scheduling

  • Wix for website operations

  • Approved creative, communication, and file-delivery platforms

Third-party providers maintain their own applicable terms and privacy policies.

WVS's use of third-party services does not eliminate responsibilities imposed by law or its agreements.

22. Privacy and Data Protection

WVS collects and processes personal and business information as described in its Privacy Policy.

Information may include contact details, payment-related records, executed agreements, client-provided materials, communications, and authorized platform-access information.

WVS will use reasonable measures to protect confidential and sensitive information.

Privacy Policy: https://www.waltersvisionarystudios.com/privacypolicy

The Privacy Policy supplements, but does not replace, the confidentiality and non-disclosure obligations contained in individual service agreements.

23. Electronic Signatures and Communications

WVS may use electronic signatures, digital agreements, and electronic records where legally permitted.

Clients who affirmatively consent to electronic contracting acknowledge that electronic signatures and records may have legal effect under applicable law.

WVS may retain appropriate records of contracts, payments, authorizations, and client communications.

24. Limitation of Liability

To the extent permitted by law, WVS will not be liable for indirect, incidental, special, or consequential damages arising from its services.

Any agreed limitation on total monetary liability will be stated in the applicable service agreement and must comply with law.

Nothing in these Terms excludes liability or legal obligations that cannot lawfully be excluded.

25. Events Beyond Reasonable Control

Neither party will be responsible for delays resulting from events beyond its reasonable control, to the extent permitted by law.

Affected parties should communicate material disruptions within a reasonable time.

Such events do not automatically eliminate payment, refund, or other obligations that remain enforceable.

26. Changes to Service Agreements

Material changes to the scope, price, duration, deliverables, or payment terms of an active engagement require appropriate written agreement.

Verbal discussions do not automatically amend a signed contract.

WVS may document approved changes through electronic amendments or updated service agreements.

27. Termination and Post-Termination Responsibilities

Upon lawful termination or expiration:

  • WVS will discontinue services as required by the agreement.

  • Outstanding payment obligations will be handled according to the agreement and law.

  • The parties will address final deliverables and any applicable refunds.

  • WVS will relinquish account access when no longer authorized or necessary.

  • Confidentiality obligations will continue as provided in the agreement.

  • Intellectual property and lawful recordkeeping provisions will remain effective where applicable.

28. Governing Law and Dispute Resolution

These Terms are governed by Oklahoma law, subject to mandatory legal protections that may apply.

The parties are encouraged to attempt good-faith resolution of disputes before initiating formal proceedings.

Any additional arbitration, mediation, venue, or litigation requirements must be expressly established in an applicable agreement and comply with law.

Nothing in these Terms limits legal rights that cannot be waived.

29. Updates to These Terms

WVS may update these Terms to reflect changes in services, operations, technology, or applicable law.

Revisions will be reflected by an updated effective date.

Material changes will not automatically override an existing signed agreement without any notice or consent required by that agreement or law.
